Corporate Governance Toolkit for Boards and Executives

$15.99

Governance codes are usually taught one country at a time, and mostly for large listed companies. Boards in the region rarely look like that. They oversee family-founded groups, state-owned enterprises, banks with their own regulators, NGOs and growing SMEs, often across several countries. This course gives directors and executives the tools to govern them, with six African governance codes side by side.

It is part of the EunoiaData Professional Toolkits series, for directors, chief executives, company secretaries, senior managers, owners and founders. Each lesson closes with three views: as the auditor, as the manager and as the board.

Examples follow one fictional case company, Kuvanya Group, operating across Zimbabwe, Zambia, South Africa, Botswana, Kenya and Nigeria. The company and all its people are fictional, created by EunoiaData for teaching.

Frameworks used

The course explains these in its own words: the G20/OECD Principles of Corporate Governance (2023); King V (South Africa, 2025); the ZimCode and Zimbabwe’s Public Entities Corporate Governance Act; the Nigerian Code of Corporate Governance 2018; Kenya’s CMA issuers’ code and Mwongozo; and the governance codes and practice in Botswana and Zambia. Editions are shown as at 2026 and are expected to change. EunoiaData is not affiliated with or endorsed by any framework body, code issuer or software vendor; product names are trademarks of their owners and are used for identification only. The course does not prepare you for any certification exam.

What you will learn

  • What governance is for, and how laws, regulators’ rules, listing rules and codes fit together in six countries
  • How to test board independence honestly, plan committees and manage directors’ conflicts of interest
  • How boards oversee strategy, risk appetite, internal control and audit, and technology, data and ERP risk
  • How governance differs for family firms, state-owned enterprises, NGOs and SME advisory boards
  • How to treat shareholders fairly, hear stakeholders, and prepare governance and sustainability disclosures
  • How to evaluate the board and turn the results into improvement

Your toolkit

You leave with five ready-to-adapt tools: a governance code comparison table, a board skills matrix and conflicts register, a board oversight calendar and question bank, a governance health check by organisation type, and a board evaluation checklist. Worked examples come as tables you can copy into Excel to practise.

How the course works

There are five modules, each with four lessons and a short quiz. You need 70% on each quiz to complete the course and earn your certificate. It pairs with our Company Secretarial Practice, Risk Management, Digital Trust for Managers and Business Continuity Toolkit courses.
